Terms of Service

These Terms of Service (“Terms”) govern your use of Spatial Awareness (the “Software”) and your purchase of a licence from Simon Lee Gregory, trading as Spatial Awareness (“we”, “us”, “our”). By downloading, installing, or using the Software, you agree to these Terms.
1. The Software
Spatial Awareness is a macOS desktop application for spatial audio design in theatre and live performance, including integration with QLab 5 via OSC.
A free version of the Software is available for download, with saving and export features restricted. A paid licence unlocks these features.
2. Licences
We offer the following licence types:
- Personal Licence — a single-machine licence for individual designers and engineers.
- Live Licence — a three-seat licence intended for touring productions (main rig, backup machine, and edit suite).
All licences are sold as a one-time purchase. We do not offer subscriptions for Spatial Awareness licences.
Each licence is tied to a unique licence key issued at the time of purchase. You may activate the Software on the number of machines specified by your licence tier. Licence keys are personal to the purchaser and may not be resold, shared, or transferred without our prior written consent, except where reasonably necessary for the Personal or Live licence use cases described above (e.g. transferring activation between your own machines).
3. Payment and Taxes
All purchases are processed by Lemon Squeezy, acting as our authorised reseller and Merchant of Record. Lemon Squeezy handles payment processing, applicable sales tax/VAT/GST, and issues your purchase receipt.
4. Refund Policy
Please see our Refund Policy for full details. In summary: as Spatial Awareness is a digital product delivered electronically, all sales are final and we do not offer refunds, except where required by applicable law.
5. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the Software except as permitted by law.
- Circumvent or attempt to circumvent licence validation.
- Use the Software for any unlawful purpose.
6. Intellectual Property
The Software, including its design, code, and associated documentation, is owned by Simon Lee Gregory. Purchasing a licence grants you the right to use the Software under these Terms; it does not transfer any ownership or intellectual property rights to you.
7. Disclaimer of Warranty
The Software is provided “as is” without warranty of any kind, express or implied. We do not guarantee the Software will be error-free, uninterrupted, or fit for any particular purpose, including use in live performance environments. You are responsible for testing the Software thoroughly before relying on it in a live show context.
8. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Software — including but not limited to lost revenue, show disruption, or data loss.
9. Changes to the Software and Terms
We may update the Software and these Terms from time to time. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.
10. Governing Law
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.
